Job Description: VP, Legal and Business Affairs

Key Responsibilities:

The Vice President for Legal & Business Affairs at International Literary Properties is a senior management position reporting directly to the Chief Financial Officer and working closely with the CEOs of ILP鈥檚 operating divisions in both Literary and Theatrical properties, as well as the President of Global Acquisitions.

The successful applicant will be responsible for overseeing the contractual activities for ILP鈥檚 global acquisition activity as well as playing a leading role in commercial deal making for the owned catalog.

Key acquisition activities include working with the principals to structure and negotiate deals; supervising outside counsel and managing the due diligence process. Post-closing responsibilities include execution of, and compliance with, contractual obligations as well as managing ongoing relationships with third-party attorneys representing authors and estates, outside literary agents and other key stakeholders.

Examples of catalog exploitation activities include: drafting licensing agreements, film and television option and purchase agreements, theatrical performance rights agreements, as well as publishing and representation agreements for ILP鈥檚 commercial exploitations of the catalog.

The Vice President will work in close coordination with senior management and external stakeholders to:

路 ensure parallel diligence, contractual and legal onboarding across the company;

路 organize and inventory encumbrances and availabilities for all acquired properties;

路 provide timely information to ILP鈥檚 rights exploitation team as properties are acquired;

路 oversee the establishment of clear chain-of-title for all acquired IP, via pre- or post-deal diligence, engaging external counsel where required, and producing chain-of-title reports for all owned IP;

路 oversee global trademark, copyright, and internet domain research, registration, and filings working with ILP鈥檚 external counsel and Legal Manager; and

路 negotiate and execute contracts for new IP rights exploitation activity within ILP鈥檚 portfolio.

The executive will also be involved in capital raises and related compliance, general corporate governance, vendor agreements, consultants, HR matters, and business insurance, etc. Prior experience in this area is preferred but not essential.

The ideal candidate will have a minimum of 7 years of legal and business affairs experience in a related entertainment rights field, with strong project management skills and strong knowledge of entertainment industry players and practices. The candidate will be a self-starter who can work independently in a remote working environment and across geographies.

SALARY

$200,000.00 – $250,000.00 per year
